State-run helicopter operator Pawan Hans is planning to enter the commercial airline business offering regional connectivity and has already received a go-ahead from its board, a top official has said.

The New Delhi based firm, however, is yet to decide on the business model and the timeline for the proposed venture, the official said.

The country's largest helicopter company, which slipped into the red in the 2012 fiscal, has managed to turnaround with a Rs 7-8 crore net profit (unaudited) in the past fiscal on account of higher efficiencies and cost-cutting.

"Pawan Hans has a mandate from its board as well as the government to go for fixed wing aircraft operations. That is a very challenging opportunity for us," Pawan Hans Chairman Anil Srivastava, who is also a joint secretary in the Aviation Ministry said.

Srivastava said plans are in line for the regional connectivity policy, which envisages providing regional air connectivity to support traffic at larger airports.

The government is in the process of finalising a policy to promote the regional air connectivity and increase air services in the hinterlands, which is expected to be announced in the next three months.

"So, Pawan Hans, in anticipation, intends to play a vital role in the segment. We want to make use of the smaller airstrip lying across the country," Srivastava said.

There are 290-odd airstrips in the country. Of these, some are operational while most of them are unused.

Srivastava, however, said a concrete plan for the company's proposed move is being worked out, adding, "Details such as operation model, fleet size/type of aircraft or whether to go in for scheduled or non-scheduled services are to be finalised."

On investment that would be required for entering commercial aviation, Srivastava said: "The first thing is to develop the skills which are required (to run an airline). Financial resources are not critical if the company has the skills to manage the business."

"We are operating (as a chopper operator) in a highly competitive market through the open bidding system. We are competing with private operators and are doing well without any government grants.

"The company has the strengths, but we have to develop our strength and skills in the areas of fixed wings planes (operations)," Srivastava said.

One should take the jump but with preparations, he added.

"The company was in a bad shape in FY12 with a loss of Rs 10.35 crore. But we are happy to say that we have sort of turned around with a net profit of around Rs 7-8 crore (unaudited)," Srivastava said.

Attributing the profitable balance sheet to increasing efficiencies of the existing resources, coupled with a series of cost-cutting measures, Srivastava said, "The measures resulted into a net saving of around Rs 9 crore last fiscal."

Even a Parliamentary panel in its report tabled last Friday had said a budgetary support would help the state-owned chopper firm in its expansion plans.

"The committee finds that as against the projected demands of Rs 5 crore under the plan, Pawan Hans was not able to get any budgetary support," the Parliamentary standing committee on transport, tourism and culture headed by CPM leader Sitaram Yechury said in its report.

"The committee feels that necessary budgetary support, if given to Pawan Hans, it can take up its capacity building and skill development/expansion projects without delay. The committee feels that the company should expand its business beyond off-shore operations and present itself as a viable air service provider in unexplored tourist destinations," the report said.

Indian operator Pawan Hans Helicopters plans to order five 19-20 seat turboprop aircraft to serve routes in India’s far Northeast.

The acquisition would mark the government-owned firm’s entrance into the fixed-wing arena, and would be made under the auspices of the government’s push for increased regional connectivity, says a source familiar with the requirement.

Types that could fill the requirement include the Dornier Do 228, which is produced locally by Hindustan Aeronautics, and the Sikorsky M28, produce by the helicopter firm’s Polish unit, PZL Mielec, and the Beechcraft King Air.

If the fixed wing acqusition goes through, the aircraft will likely serve remote air strips in the country’s northeast provinces such as Assam and Arunachal Pradesh.

Pawan Hans operates 46 helicopters, of which 35 are Airbus Helicopters Dauphins.

Nineteen years after an ambitious government plan to improve air connectivity from remote towns crashed because of mounting losses, Pawan Hans has decided to revive the concept by starting a regional service.

The helicopter operator intends to link small towns to major airports such as Mumbai and it will initially lease three 20-seater choppers for the service. The plan follows an aggressive push by the Narendra Modi government to improve regional air connectivity, and Pawan Hans will get subsidy benefits for operating a service on such routes.

In the 1980s, the government-run airline Vayudoot made an ambitious attempt to put lesser-known destinations on the country's aviation map that was dominated by metros. But heavy losses forced the government to shut the airline.

Pawan Hans believes a chopper service on regional routes will fare much better. Under the proposed model, the fare has been fixed at Rs 2,500 per hour of flight. The remaining operation cost will be funded through the government's viability gap funding programme.

The government-backed company is also working on an expansion plan that will see its fleet grow from 43 to 100 aircraft. "We are finalising a plan to consolidate our market position with a fleet of 100 aircraft, which will comprise a mix of helicopters and fixed-wing aircraft, by 2027," said Pawan Hans chairman BP Sharma.

Pawan Hans' choppers in Mumbai are mostly used for trips to offshore oil rigs and for flying politicians.

"We currently operate from 21 bases in the country, touching 65 sectors with a fleet of 53 choppers that clock up an average of 90 flying hours per day. Of the 53 choppers, 46 are owned by the company, while the rest are on operation and management lease," Sharma said.

"The fleet of fixed-wing aircraft will include some seaplanes. The expansion will lead to the creation of hundreds of jobs for pilots and aircraft maintenance personnel."

According to another official, the company will sell 26 choppers as it buys new fixedwing aircraft. But over the next decade, it will purchase 58 choppers.

The company also plans to come out with an initial public offering next year, and attract new clients such as central government ministries. "Currently, only private operators cater to this segment," a Pawan Hans official said. "We also want to set up helipads and heliports as part of our diversification push."

The Modi government is going to launch a new airline based out of Guwahati which would connect all state capitals in that part of the country, a move that's going to give a big fillip to connectivity in Northeast India.

The company will be a subsidiary of Pawan Hans Helicopters Ltd and is likely to operate a fleet of 6 fixed-wing planes and 5 helicopters.

The subsidiary, with an equity base of Rs 150 crore, will be 51 per cent owned by Pawan Hans Helicopters Ltd and the rest will be owned by North Eastern Council (NEC).

The decision to create a new airline was taken at a meeting of all state chief ministers from the Northeast and Department of North Eastern Region minister Jitendra Singh.

"A proposal has come to the aviation ministry and has also been sent to NEC for approval," said a government official, who did not want to be identified. This is the first time that the government is launching a subsidiary to provide connectivity within the Northeast.

Currently, Alliance Air provides air connectivity to select cities in the region, which is based on the viability gap funding from the government.

Analysts believe that the model is a proven one and will surely fetch money for Pawan Hans.

"Pawan Hans' plan is path-breaking and based on a proven model that countries like Indonesia, Brazil, Argentina, Canada, Chile and many others have tried," said Mark Martin, CEO and founder of Martin Consulting, an aviation advisory firm.

Given the lukewarm response received from private airlines for the regional connectivity scheme (RCS), the National Democratic Alliance government is evaluating to bring on board state-run Pawan Hans Helicopters Ltd (PHHL).

The Narendra Modi-led government’s ambitious project to put the remote parts of the country on aviation map was scheduled to be operational by this year-end. While announcing the draft RCS policy on 1 July, the government had set a target to start flight operations from at least 30 unserved and underserved airports by the year end and the remaining 60 more airports by March 2017. However, it is now expected to take off sometime next year.

A senior civil aviation ministry official, requesting anonymity, said there have been some rounds of discussions, and all stakeholders and departments involved in the RCS project will engage with PHHL in this regard.

Another ministry official, who also did not want to be named, said the government is looking at involving small planes, mainly turboprop.

“We are now eyeing to induct a 12-seater helicopters which could get the viability gap funding (VGF) support,” the official added.

VGF is a significant component of the RCS draft policy which defines it as the financial support the central government will offer to meet the gap, if any, between the cost of airline operations and expected revenues on RCS routes.

The maximum VGF for airlines flying under RCS will be limited to nine seats for a 12-seater aircraft and maximum of 40 seats for larger aircraft. According to the proposed contours, VGF will be available for three years for airlines flying under RCS, followed by a two-year cooling-off period.

The RCS has been set up under the New Civil Aviation Policy (NCAP), 2016, and the government plans to develop or revive a total of 60 airports during the first phase spanning the next three years. Overall, the scheme targets to connect around 390 airstrips.

According to the first ministry official, the government is looking at expansion of PHHL’s fleet strength from the present 45 to 145 over the next 10 years. The official explained that PHHL is also moving ahead with its plan for an initial public offering listing by the March 2018, as proposed under the NCAP.

Queries emailed to the spokespersons of the ministry of civil aviation and PHHL on 18 October remained unanswered.

Indian operator, Pawan Hans Helicopters (Delhi Int'l), announced last week that it intends to deploy helicopters on Regional Air Connectivity Scheme (RCS) routes in a bid to connect all the districts of the country. However, these plans could be affected by reports that the Indian government will divest itself of a 51% stake in the company.

The RCS is a government plan to increase connectivity to India's most remote regions and is due to be operational in at least 60 underserved airports by March 2017. Under the scheme, carriers can apply for viability gap funding (VGF) support, to cover any losses between operational costs and revenues.

B P Sharma, Chairman & Managing Director of Pawan Hans (PHHL), had hoped to increase PHHL's fleet from 45 fixed and rotary-wing aircraft to 145 within ten years to meet demand of the RCS. UNI India reports that Pawan is keen to acquire ten Dhruv MK-III helicopters, for which it has entered an Memorandum of Understanding with Hindustan Aeronautics Limited. Sharma is also considering adding seaplanes and small fixed-wing aircraft.

"We can easily start our operations without much investment on related services," Sharma said. "But it all depends how much response we will get from the passengers and authorities."

However, the Economic Times of India reports that with government plans to sell off its stake by the end of 2017, Sharma's ambitious growth plans could be thrown into doubt.

Members of the All India Civil Aviation Employees Union (AICAEU) have widely criticised the sell-off, saying that Pawan Hans "is providing the most affordable helicopter services in the country and is a lifeline for the North-eastern region".

The government is exiting helicopter service operator Pawan Hans Ltd and has invited bids from private companies, including foreign entities to buy out its entire 51-per cent stake along with management control.

State-run oil and gas explorer ONGC holds the remaining 49-per cent stake in the miniratna PSU, which is under the administrative control of the civil aviation ministry.

In its ''global invitation for expression of interest'', the government sought bids by 8 December.

''The government proposes to disinvest its entire equity shareholding of 51 per cent in Pawan Hans Ltd by way of strategic disinvestment to investors, along with transfer of management control,'' it said.

Pawan Hans Helicopters has attracted only one serious potential buyer Indian Minister for Civil Aviation, Ashok Gajapathi Raju, has confirmed.

New Delhi put its 51% stake in the rotary-winged specialist up for sale in October last year as part of its ongoing privatization of state assets.

“There was some expression of interest, but I understand only one person has qualified and it is single tender," he told The Hindu newspaper. "So we are wondering what to do…we will take a decision.”

With only one viable tender, Raju said government would struggle to close the sale. As such, when asked if a call for the retendering for bids will be made, he said all options were open.

State sources told the paper that government is confident that it will be able to retender for bids in the next 2-3 months "as the basic guidelines for divestment are ready and only some conditions and criteria need tweaking".

Pawan Hans Helicopters is considering adding amphibian aircraft to its fleet as it gears up to enter India's mainstream scheduled passenger services niche this summer.

The helicopter operator was awarded 35 city pairs during the Indian government's most recent round of RCS allocations. The routes focus primarily on towns and cities in India's northeast.

“The plan is to add more than 50 new towns and cities to our map in the near future,” Pawan Hans chairman and managing director B.P. Sharma told India's LiveMint. “We are actively considering adding seaplanes to our fleet and are currently in talks with lessors."

The government on Wednesday called for global bids for the privatisation of helicopter service provider Pawan Hans.

The complete ownership of the firm, a joint venture of the Centre and ONGC that own stakes in the ratio of 51:49, would be offered to the successful bidder, the bid document said.

The government has come out with an addendum to the expression of interest (EoI) issued in April in a fresh effort to sell stake in the firm.

According to the revised EoI document, bidders can seek clarification to the bidding by August 22. The last date for the submission of the EoI is September 12 and the shortlisted names would be intimated on October 3.

SBI Capital Markets is the transaction adviser for the strategic sale of the firm, which owns 46 helicopters.

Pawan Hans is a mini ratna-I category firm under the ministry of civil aviation. It provides helicopter services for offshore operations, inter-island transportation, connecting inaccessible areas, rescue work and tourism.

This would be the third time that the government is attempting to sell stakes in the firm as earlier efforts did not attract many bidders.

The government has yet again started the process to divest Pawan Hans after several unsuccessful attempts in the past.

The government and ONGC, which have 51% and 49% stake in the 42-chopper PSU, respectively, have offered to sale their entire stake, according to the preliminary information memorandum issued by the department of investment and public asset management (Dipam) on Tuesday.

“The successful bidder, as identified by the government for sale of its 51% stake in Pawan Hans, will also have the option to buy ONGC stake of 49%,” the memorandum said. Expressions of interest (EoIs) have to be submitted by January 19, 2021, and shortlisted bidders will be intimated on February 17.

Companies bidding for Pawan Hans must have a net worth of at least Rs 300 crore. SBI Caps is the transaction adviser for this divestment. As on March 31, 2019, Pawan Hans has contingent liabilities related to tax and statutory dues of Rs 577 crore. Its authorised capital as on March 31, 2020, is Rs 560 crore. This PSU provides air transport services for ONGC’s exploration activities and helicopter transportation services in the northeast.

A successful bidder will not be able to retrench any permanent employee for a year from taking over. After a year, they could offer VRS.
